These Terms of Use (“Terms”) govern access to and use of the TopGate buyer mobile application and related services (“ TopGate ,” the “App,” “we,” “us,” or “our”).

By creating a buyer account, browsing products, saving products, submitting order requests, communicating with sellers, posting product reviews, or otherwise using TopGate , you agree to these Terms and the TopGate Buyer App Privacy Policy.

If you use TopGate for business purposes or on behalf of a business, you confirm that you are authorized to do so.

By agreeing to these Terms of Use, you also agree to our Privacy Policy.

Buyer Verification and Compliance

We may request verification information where reasonably necessary to protect the platform, sellers, buyers, or our legal interests.

Account Access

TopGate currently supports one user per buyer account. You are responsible for keeping your account information accurate, protecting your login credentials, and ensuring that your account is used only by you.

You must not share your account, allow another person to use your account, access another user’s account, bypass access controls, or use TopGate under false or unauthorized information.

Product Browsing and Seller Information

TopGate allows buyers to browse, search, filter, save, compare, and interact with wholesale products and seller listings.

Product information is provided by sellers. TopGate does not guarantee that product listings, seller profiles, prices, quantities, availability, descriptions, images, certifications, origin claims, export information, or other seller-provided information are accurate, complete, current, lawful, available, authentic, or suitable for your market.

Buyers are responsible for independently verifying:

• product details, quality, and specifications;
• seller identity, authority, and reliability;
• pricing, payment terms, and commercial terms;
• product availability and minimum order quantities;
• product certifications, labels, materials, origin, and compliance;
• import eligibility, export eligibility, customs requirements, taxes, and duties;
• shipment, delivery, insurance, returns, warranties, and after-sales obligations;
• legal compliance in the buyer’s country or target market.

Buyers use seller information and product listings at their own business risk.

Order Requests Are Contact Coordination Only

TopGate may allow buyers to submit order requests and view statuses.

Order functionality is provided only for contact coordination, internal workflow, and business communication. TopGate does not currently process payments, shipment, logistics, customs, escrow, invoicing, refunds, returns, insurance, or delivery.

An order request or order status does not guarantee product availability, seller acceptance, payment, shipment, delivery, price, exclusivity, customs clearance, or formation of a binding commercial agreement unless separately agreed between buyer and seller outside TopGate .

Any commercial agreement, payment arrangement, delivery arrangement, product warranty, return, refund, customs matter, tax matter, or other business arrangement made between buyers and sellers is made directly between those parties. TopGate is not a party to those arrangements and is not responsible for their performance, payment, delivery, quality, legality, completion, or enforcement.

Buyers are responsible for independently evaluating sellers, negotiating terms, confirming payment arrangements, arranging shipment, managing customs, reviewing invoices, handling taxes, resolving disputes, and complying with all applicable laws.

Chat and Communications

TopGate may include buyer-seller chat and support communication features.

Users must communicate professionally and lawfully. Harassment, threats, fraud, spam, misleading statements, unlawful requests, abusive language, and misuse of chat are prohibited.

We may review communications where necessary for support, safety, legal compliance, dispute handling, technical maintenance, platform integrity, or enforcement of these Terms.

Product Reviews

TopGate may allow buyers to submit reviews of products. Reviews are intended to help other business users understand product-related experiences.

By submitting a product review, you confirm that:

• the review is truthful, accurate, and based on genuine experience or legitimate product interaction;
• the review is relevant to the product;
• the review does not contain false, misleading, defamatory, abusive, discriminatory, confidential, or unlawful content;
• the review does not include unnecessary personal data, sensitive data, payment information, or private business information;
• the review does not infringe intellectual property, privacy, or other third-party rights;
• the review is not fake, paid, manipulated, or submitted to unfairly harm or promote any product or business.

We may remove, restrict, reject, hide, or moderate reviews that we believe violate these Terms, platform rules, applicable law, third-party rights, or platform quality standards.

Buyer Legal Compliance

Buyers are solely responsible for complying with all laws applicable to their business, location, product use, import activity, resale activity, and communications.

This may include import laws, customs rules, sanctions, tax and duty obligations, product safety rules, labeling requirements, consumer protection rules applicable to downstream resale, advertising laws, intellectual property laws, anti-bribery and anti-corruption laws, data protection laws, and any sector-specific regulations.

We do not provide legal, tax, customs, logistics, import, product compliance, payment, accounting, financial, or business advice.

Seller Information and Confidentiality

Buyers may receive seller information, product information, pricing information, quotation-related information, catalog information, images, and business communications through TopGate .

Buyers may use seller information only for legitimate business purposes related to product discovery, order coordination, and communication through or in connection with TopGate .

Buyers must not sell, misuse, scrape, copy, disclose, publish, export without authorization, or use seller information for unrelated marketing, unlawful purposes, or unfair competition. Buyers are responsible for ensuring that their company members and authorized users handle seller information lawfully and confidentially.

Account Deactivation, Removal, and Data Retention

Users may stop using TopGate at any time.

Because buyer accounts may be connected to company records, seller communications, order coordination records, product reviews, support history, security records, legal obligations, and records affecting sellers, immediate full account deletion may not always be available or may be limited.

You may contact us to request account review, deactivation, removal of access, or deletion of personal data where legally available. We may retain certain records where necessary for legal compliance, security, fraud prevention, dispute handling, accounting, platform integrity, protection of rights, or preservation of buyer-seller records.

Platform Availability and Changes

We may update, modify, suspend, discontinue, limit, or change any part of TopGate at any time, including features, workflows, search, recommendations, categories, reviews, saved items, messaging, account permissions, or order coordination tools.

Suspension and Termination

We may suspend, restrict, or terminate access to TopGate , remove content, restrict messaging, hide reviews, limit visibility, block users, or close accounts if we believe that a user or company has violated these Terms, created legal or security risk, misused TopGate , infringed third-party rights, provided false information, harmed seller trust, or if required by law or authority request.

Changes to These Terms

We may update these Terms from time to time. If changes materially affect user rights or obligations, we will provide notice through TopGate , email, or another appropriate method.

Continued use after the effective date of updated Terms means you accept the updated Terms.

Governing Law and Dispute Resolution

We may change these terms from time to time. If we make any changes to these terms that we think materially alter your rights, then we will post the latest terms to this site and change the "Last Updated" date above. We encourage you to review these terms whenever you visit the TopGate Service to understand how your information is used.
